Welcome to the Little Nomads Stock Photo site ("website"). Following are the terms and conditions that govern Your use of the site and its contents. Use of this website constitutes a legal and binding agreement that Your use is subject to the terms and conditions specified by Little Nomads Stock Photo. If You do not agree, please discontinue Your use of the site and erase all data You may have downloaded. We reserve the right to change these terms and conditions at any time without further notice; new and amended terms will become effective once posted on this website.
Ownership of the Website
This website is owned and operated by Little Nomads. All Images and any related text, captions, or information (collectively referred to as "Images") are owned by Little Nomads and by Our image providers ("Photographers"). All other content featured on this website ("Website Content") including, but not limited to, copyrights, trademarks, trade names, and graphics, are owned by Little Nomads. All Images are protected by U.S. and international copyright laws.
This site contains both Images that depict a visible watermark (Watermarked Images) and Images that do not contain a visible watermark (Non-Watermarked Images). Little Nomads allows You to search for, view, and use Little Nomads Images only as outlined under Our "Permitted Usage" below. If You have registered for a Little Nomads account and Little Nomads has approved Your registration (see "Registering For An Account" below), You may be able to purchase and access Non-Watermarked Images, which also shall be used only as outlined under Our "Permitted Usage." To obtain access to download Non-Watermarked Images, as well as to upload Images if You are an approved Photographer, You have to apply for a Little Nomads account and You agree to provide complete, true and accurate information. Little Nomads reserves sole discretion over whether or not to grant You an account, and You agree to access the authorized sections of the web site and Your account only by using the account name and password provided at the time of registration. You are responsible for maintaining the confidentiality of Your account name and/or password, if applicable, and You shall not distribute this access information or allow others to use this access information to gain access to this website. You agree to take reasonable steps to prevent others from obtaining Your access information and to notify Little Nomads of any unauthorized access or need to update or remove access for any of Your employees or agents. You shall be liable for payment for all Images downloaded by others using Your account, with or without Your permission or knowledge prior to the time that You notify Little Nomads of any unauthorized use. You agree that You shall not acquire any rights of use, ownership, or bailment as a result of using any Little Nomads account or web site or related services.
Indemnification for Breach
You agree to indemnify Little Nomads, its subsidiaries, its affiliates and licensors against any losses, expenses, costs or damages howsoever incurred by any or all of them as a result of Your breach of the Terms of this Agreement or Your unauthorized use of the Images and/or Website Content and related rights.
Permitted Usage
Images available on this website include visibly or electronically watermarked, reduced resolution Images (Watermarked Images) and higher resolution non-watermarked Images (Non-Watermarked Images).
For Watermarked Images-Comp Use
Conditional upon Your compliance with this Agreement, Little Nomads grants You a personal, non-transferable, non-exclusive right to download Watermarked Images solely for comping/ evaluating whether or not You wish to purchase a license to the Non-Watermarked Image according to the Agreement applicable to Your use. These downloaded Watermarked Images may be in the form of a digital file, or a PDF contact sheet of Images You have selected (collectively referred to hereafter as "Watermarked Image"). You may not use a Watermarked Image in any final materials distributed within Your company or any materials distributed outside of Your company or to the public or in any online or other electronic distribution system. You may not modify, alter, or remove any visible or electronic watermark, or disassemble, reverse engineer, or decompile any Image. Except for this limited, internal testing and sample use, Little Nomads grants You no other rights, and You may not distribute, sublicense or make available for use or distribution any Watermarked Image. You must contact Little Nomads to obtain a license for all external and final uses and for any additional use(s). Other than the above Comp Use, Images may not be used in any way, until payment is received by Little Nomads in full.
For Non-Watermarked Images
After registering for a Little Nomads account, You will be granted the ability to purchase and download Non-Watermarked Images. Only effective upon Our receipt of Your payment, Little Nomads grants You the non-exclusive right to use the Images according to Our Royalty-Free End User License Agreement(RF-EULA). Use of the Image(s) is/are strictly limited to the RF-EULA, and subject to the below Restrictions as to Use. The terms specified on the RF-EULA shall not be modified without the express written consent of Little Nomads. In the event that You require a more limited Rights-Managed End User License Agreement (RM-EULA), the Image(s) will be strictly limited to the specific use, medium, period of time, print run, placement, size of image, territory and any other restrictions specified in Our RM-EULA, to be drafted and personalized at the time of request. The Image(s) protected under Our RM-EULA are also subject to the below Restrictions as to Use.
Any attempted deviation from the terms of our RF-EULA or the RM-EULA is a violation of this Agreement as well as the U.S. Copyright Act and the copyright laws of all countries under international treaties of the U.S.A. You shall not undertake any expanded use of the Image(s) without the prior approval of Little Nomads and payment and receipt of any additional use fees required by Little Nomads for such expanded use.
Restrictions as to Use
The following uses are prohibited:
Use of the Image beyond the terms of the RF-EULA without first obtaining an additional license in writing from Little Nomads, including any electronic reproduction or advertising or promotional rights.
Use of the Image in a manner that is defamatory, pornographic or obscene, whether directly or in context or juxtaposition with specific subject matter.
Use of the Image in any way that violates a depicted person's right of privacy or publicity, or to infringe on any trade name, trademark or service mark or logo.
Use of the Image for any sensitive use, including in connection with alcohol, tobacco, drugs, disease, medical treatments or devices, sexual activity or criminal activity.
Archive, republish or transmit any images alone or as part of any database without Little Nomads prior written consent.
Copy or publish any of the Images to a network or bulletin board, or otherwise distribute or allow any of the Images to be distributed to or used by anyone other than the authorized users, without prior written consent from Little Nomads.
Sublicense, re-license, rent or lease or otherwise distribute any of the Images.
Model and Property Releases
Little Nomads gives no representations or warranties whatsoever as to the existence of any Release associated with the Image. Little Nomads also gives no representations or warranties whatsoever with respect to the use of names, trademarks, logos, uniforms, registered or copyrighted designs or works of art depicted in the Image. You are solely responsible for determining whether Your use of any Image requires the consent of any third party or the license of any additional rights, and You should not rely solely on the information provided by Little Nomads or its Photographers. If You are unsure whether additional third-party rights are needed for Your use, You are responsible for consulting with competent rights management professionals or legal counselors.
Disclaimers
This website and its content are provided "as is" by Little Nomads. We make no warranties of any kind, either express or implied, including but not limited to: the implied warranties of merchant ability, fitness for a particular purpose, or non-infringement to the fullest extent permissible pursuant to applicable law.
Delivery of the Images
On occasion, technical problems may delay or prevent delivery of Images and/or services. Though We use reasonable efforts to avoid and minimize such disruptions where possible, You understand and agree that We cannot be held responsible for such disruptions.
